METRAXIOM Service Terms
The customer agreement for account access, supported service scope, subscriptions, measurement responsibility, customer exit, AI, and intellectual property.
1. Seller, parties and eligibility
METRAXIOM is a software product and brand offered by Andre Jason Watts, the individual seller (Seller, we, or us). METRAXIOM is not represented as a separate corporation or limited liability company. Customer means the individual accepting a personal service agreement or the organization identified in a service order accepted by its authorized representative. An Authorized User is a person the Customer permits to use an applicable workspace. An Authorized User's personal account obligations do not, without separate authority, constitute an organizational purchasing agreement or a personal guarantee of the organization's debts.
Account holders must be at least eighteen years old and legally capable of accepting the applicable obligations. Users must accurately identify their capacity and authority. A workspace role, organizational email address, payment card or successful authentication does not independently prove authority to bind an organization. No account or agreement creates a partnership, fiduciary relationship, employment relationship or authority to act for the Seller.
2. Documents, notice and affirmative acceptance
The agreement consists of the identified version of these Terms, the Acceptable Use Policy, the accepted plan or order, and applicable expressly identified schedules or signed supplements. A local mandatory-rights schedule applies to the transactions it describes. A data-processing agreement governs its identified processing subject matter. A negotiated order changes another document only where it expressly identifies the change and the change is lawful.
The applicable documents are available for review and retention before acceptance. The acceptance record identifies the versions presented. Acceptance of one version does not establish acceptance of an undisclosed replacement. The Privacy Notice describes information handling. Acknowledgment of that notice is not blanket consent to advertising, unrelated processing, sale of personal information or model training. Optional processing requiring consent is offered separately.
Viewing informational pages alone does not constitute acceptance of all account, payment or restricted-feature obligations. Public interactive tools may require their own limited agreement. No document overrides mandatory law or binds a nonparty merely because the document says that it does.
3. Service scope and product representations
The service provides the capabilities identified as available in the accepted plan and approved deployment. These may include calculation, measurement-support, instrument and source organization, evidence-management and review functions, with separately enabled AI or integration functions. The plan describes included seats, capacity and material limits. An unavailable, planned, experimental, preview or separately restricted capability is not included merely because it appears in a roadmap or demonstration. An experiment or visual mockup is not a certification or operational approval.
The Seller remains responsible for express contractual commitments and applicable duties. These Terms do not retract a specific service promise or excuse a misleading description. Material limitations must be presented alongside the relevant feature or purchasing claim. A subscription does not purchase accreditation, professional licensure, regulatory approval, laboratory competence or authority to release a regulated result.
4. Customer-controlled inputs, methods and use
The Customer is responsible for the accuracy, completeness, currency and authorization of information it supplies, selects or modifies. This includes instrument identity and condition, reference-standard information, observations, units, ranges, environmental conditions, source revisions, tolerances, uncertainty contributors, assumptions, decision rules and intended use.
The Customer must determine suitability for its application and obtain the competent review, validation, qualification and approvals required for its own activities. Material warnings, missing data, inconsistencies and unexpected results must be investigated before reliance. The Customer remains responsible for decisions and downstream representations it makes. Responsibility is allocated according to the matters each party controls and the cause of a loss. These obligations do not transfer the Seller's own breach, misleading representations, misconduct or nontransferable legal duties to the Customer.
5. No automatic compliance or approval
Use of METRAXIOM does not by itself establish compliance with GMP, GxP, 21 CFR Part 11, ISO/IEC 17025, AS9100, aviation, medical-device, government-security or other requirements. A calculation, AI answer, workflow status, subscription, fingerprint, timestamp or visual mark is not independently a calibration certificate, competent technical review, engineering approval, accreditation finding, regulatory approval or authorization for release.
Any representation about an approved or validated deployment must identify its actual intended use, configuration, evidence, limitations and responsible approver. A contractual acknowledgment is not a regulated record signature or proof that a required procedure occurred.
6. Restricted deployments and high-consequence decisions
The ordinary self-service offering is not authorized for operational reliance in flight-critical or airworthiness determinations, clinical diagnosis or treatment, patient-safety decisions, drug or medical-device batch disposition, weapons control, nuclear safety, critical-infrastructure safety control, or comparable activities in which failure could foreseeably cause death, serious injury or substantial environmental harm.
Such deployment requires a separately executed scope, legally required permissions, verified operational evidence and activation of the necessary technical controls. The written scope must address responsible personnel, applicable requirements, permitted information, validation and release authority. Unlawful activity cannot be approved by private agreement. Industry affiliation alone does not determine permission. Public education or lower-risk internal analysis is different from regulated production or a safety-critical disposition. Selecting a restricted intended use leads to review or refusal, not an additional waiver that automatically unlocks it.
7. Government and public-sector use
An ordinary subscription does not authorize official government deployment requiring procurement, security, records or other arrangements beyond the stated self-service scope. Government representatives must use the separately reviewed contracting process where those requirements arise. No ordinary account acknowledgment establishes contracting authority, waives sovereign immunity or binds a government to an obligation that law prohibits. No unauthorized government indemnity obligation is imposed on a government end user merely through a click.
Neither party may imply governmental endorsement from a government employee's visit, account or evaluation. Access to public information and official deployment are distinct.
8. Eligibility, sanctions, export and international access
Commercial availability is limited to transactions, locations, counterparties, information and uses that the service is legally and operationally prepared to support. Public visibility is not a promise of commercial availability everywhere. The ordinary self-service purchasing route is currently limited to eligible United States professional and business customers using ordinary business information for lower-risk measurement-support work. Consumer, government, international, export-controlled and restricted deployments require a separately reviewed route.
The Customer must supply accurate relevant eligibility information and must not conceal a prohibited counterparty, destination, ownership interest, end use or transfer. Credentials, intermediaries or technical routing must not be used to evade restrictions. The Seller may request proportionate information, refer a transaction for review or restrict affected service where necessary. Each party retains its own applicable sanctions, export, import and other statutory obligations. Customer assurances and payment-provider approval do not replace the Seller's required review.
9. Permitted information and sensitive submissions
The Customer must have sufficient rights and legal authority for each submitted document, data item, account, credential, system and device. An upload or prompt field does not authorize submission of every category of information. Do not submit classified information, controlled government information, export-controlled technical information, protected health information or other specially regulated material unless a specifically approved deployment and all required provider and legal arrangements permit it.
Do not put passwords, private keys, API secrets, payment-card data or unnecessary sensitive measurement evidence into ordinary support email, contact fields or AI prompts. Use designated authentication, payment and approved credential interfaces only for their stated purposes. Report an unauthorized submission through the designated contact without unnecessarily reproducing it. Reporting is not a substitute for containment or legally required action.
10. Privacy and processing responsibilities
The Privacy Notice and applicable processing schedule identify actual information categories, purposes, service providers, locations, retention and available rights. The parties' legal roles depend on their actual processing activities; a contractual label does not decide them by itself. Where the Seller processes Customer Content on the Customer's behalf, the applicable processing agreement states instructions and safeguards. Account administration, billing, security and direct support may involve separate purposes and responsibilities that must also be disclosed.
Acceptance does not waive other people's privacy rights. Optional advertising, unrelated information use or general-purpose model training is not authorized through a general service checkbox. Applicable lawful bases and separate consent requirements remain in force. No guarantee of universal anonymity, domestic-only processing or zero provider retention is made unless the specific promise is documented and verified for that deployment.
11. AI, public guidance and external providers
AI output may be inaccurate, incomplete, outdated or unsupported. The Customer must verify material statements, citations, assumptions and proposed actions before use. AI is not a substitute for controlled sources, professional judgment, validation or required approval. The public educational guide and private evidence-based assistance are different functions. Each active path identifies its purpose, relevant provider, information transmitted and material limitations before the user sends information. A logo alone is not the complete disclosure.
Customer-connected AI providers and external OAuth, API or MCP clients receive only the permitted scope. A new provider, fallback route or materially broader payload requires the applicable assessment and notice before activation. An agent acts only within the principal's authorized scope and technical permissions. Generated text cannot grant permissions, alter billing entitlement or satisfy a human approval required for a controlled action. Declining optional AI preserves otherwise available non-AI tools.
12. Device access and action-taking connections
Connections are limited to identified supported equipment, modes and operations. Read access does not authorize writing, adjustment, firmware modification, actuation or process control. The Customer must verify its authority, target equipment, environment, qualified personnel and required physical safeguards. Materially consequential actions require the configured independent permission and appropriate confirmation.
Unsupported or prohibited operations do not become permissible through a warning acknowledgment. The Seller remains responsible for documented software behavior and applicable obligations; customer responsibility is not an excuse for unauthorized software actions.
13. Records, exports and downstream representations
The Customer must preserve material status labels, limitations, source references and warnings when sharing outputs. Drafts, demonstrations, public worksheets and explanatory AI output must not be represented as issued or accredited records. An integrity fingerprint or audit event can establish specified record properties; it does not independently establish that the original information was accurate, the method appropriate or the actor authorized. Independent review remains necessary where required.
Corrections must follow documented amendment or supersession processes, preserving appropriate history rather than silently rewriting it. A retention or legal-preservation requirement is not a permission to retain all information forever. The Customer is responsible for its downstream statements. These Terms do not eliminate rights belonging to recipients or other persons who have not accepted them.
14. Software license and intellectual property
During authorized service, the Customer receives a limited, nonexclusive license to use the identified software capabilities within the agreed scope. No source-code delivery, exclusivity, unrestricted sublicensing or resale right is granted unless expressly agreed. The Seller and other rights holders retain their respective rights in software, branding, documentation and nonpublic implementation. Customer Content remains the Customer's or its relevant rights holder's property. These Terms do not claim ownership of underlying scientific principles or all material created with assistance.
Do not unlawfully extract protected nonpublic implementation, bypass controls, misappropriate confidential information or exceed licensed access. Reverse-engineering, interoperability and other restrictions apply only where legally enforceable. Applicable third-party and open-source licenses remain respected. Neither a repository commit nor publication of this agreement establishes patent, copyright or trade-secret ownership. Rights must be supported independently.
15. Confidentiality, permitted reporting and third-party materials
Each party must use reasonable care to protect the other's confidential information and use it only for authorized purposes. Information lawfully public, independently developed or lawfully obtained without restriction is excluded. Required legal disclosures and protected reporting remain permitted, with notice where lawful and appropriate. Do not submit confidential inventions or controlled evidence as casual product feedback. Feedback does not automatically assign patents, inventions or private Customer Content. A separately negotiated rights transfer must be explicit.
Lawful consumer reviews, regulator complaints, whistleblowing and protected security reporting are not prohibited. Customer names and logos may not be used as endorsements without appropriate authorization. Source discovery does not license copying a protected standard, manual or dataset. The Seller will use an appropriate complaint, takedown and review process for hosted material where applicable; no statutory safe harbor is created merely by these Terms.
16. Plan selection and payment authorization
Viewing a price, creating an account or workspace, or accepting these Terms does not itself start a subscription or authorize payment. Before commitment, the purchasing flow shows the selected plan, material inclusions and limits, currency, amount due now, recurring amount and interval, relevant tax treatment, trial status, first-charge timing and cancellation route. Mandatory information is displayed before the action that binds the Customer.
A materially changed offer requires appropriate renewed authorization. A client-supplied price or success URL does not establish a valid payment or entitlement. Hosted payment entry does not eliminate the Seller's applicable billing, security or disclosure duties.
17. Introductory trials, renewals and confirmations
When offered and confirmed as eligible, an organization may receive one fourteen-day introductory trial. A payment method is required. Unless canceled before the disclosed trial end, the selected subscription continues at the disclosed recurring amount and cadence. Ineligible organizations are not promised another trial. Trial eligibility, an initial promotion and statutory withdrawal rights are separate. No automatic waiver of a statutory withdrawal right arises from accepting a free trial or creating a workspace.
The service provides the applicable retained offer confirmation and required notices. Material price or renewal changes follow the relevant agreement and law; they do not silently change past billing evidence or an agreed trial end.
18. Cancellation, withdrawal and refunds
The Customer may cancel renewal through the published billing mechanism. A usable alternative cancellation route is provided for loss of account access or an unavailable portal, subject to reasonable authority verification. A timely valid request will not be refused solely because the ordinary portal failed or because the Customer declined unrelated new terms.
Cancellation of future renewal, statutory withdrawal from a contract and termination of an account are distinct actions. The purchasing flow and account controls explain their different effects. Where statutory withdrawal rights apply, the Customer receives the applicable information and legally required withdrawal route and confirmation. Any request to begin performance during a withdrawal period must be separate and accurately describe its lawful consequences. No blanket digital-content waiver is imposed on a service that does not qualify for it.
Refunds and charges follow the disclosed offer and mandatory rights. No clause prohibits a legitimate billing dispute, lawful chargeback or complaint. General acceptance of Terms is not authorization for an undisclosed fee. Opening a portal or email application does not itself cancel a subscription; the Customer must see the affected subscription and confirm, or receive an explicit support acknowledgment.
19. Security, abuse and response
Customers must protect credentials, maintain authorized-user lists, remove obsolete permissions and report suspected compromise. Malware, evidence falsification, unauthorized penetration testing, deliberate resource abuse and evasion of account or payment controls are prohibited. The Seller may apply proportionate restrictions when needed to contain an incident, unlawful use or material misuse. Practical notice and a remedy opportunity will be provided where appropriate, without preventing urgent protective action.
The Seller retains its own applicable duties concerning security, notifications, preservation and correction. The Customer is not responsible merely because an incident involved third-party infrastructure. No party guarantees prevention of every outage, error or attack.
20. Express commitments and warranty limitations
The service remains subject to the Seller's express commitments, applicable implied duties and mandatory remedies. General disclaimers do not contradict a specific product promise or excuse deception. For transactions where lawful, and except for those commitments and duties, no guarantee is made of uninterrupted operation, suitability for undisclosed applications or universal compatibility. Any exclusion of implied warranties must be appropriate to the specific transaction and jurisdiction.
Consumer and protected small-business rights are not waived merely because the Customer selects a business-use box. A third-party failure does not excuse an independent breach by the Seller.
21. Commercial limitation of liability
Only for ordinary business-to-business economic claims arising from an eligible professional or business transaction, and only where the limitation is lawful, the Seller's aggregate liability is limited to the greater of the fees paid for the affected subscription during the preceding twelve months or US $100. Applicable negotiated or local schedules may require a different allocation. Within that same lawful scope, indirect or consequential economic losses are excluded. Refund obligations and any separate remedies expressly promised are not erased by this paragraph.
The limitation does not apply to fraud, willful misconduct, reckless or grossly negligent conduct, death or personal injury caused by negligence, or liability and statutory remedies that cannot lawfully be limited. It does not bind nonparties or restrict regulator powers. There is no double recovery of the same loss.
22. Indemnity for specified customer misconduct
For business customers legally capable of undertaking the obligation, the Customer will defend and indemnify the Seller against third-party claims to the extent caused by the Customer's unlawful use, unauthorized use or disclosure of third-party information, infringement through Customer Content, or knowing misrepresentation of an uncontrolled output as authoritative. The obligation excludes loss to the extent caused by the Seller's breach, negligence, defective performance, fraud or other misconduct. It does not impose a prohibited government or consumer obligation.
The Seller must give reasonably prompt notice and reasonable cooperation. The Customer may control defense through competent counsel, but cannot admit wrongdoing for the Seller, impose nonmonetary obligations or settle without an appropriate release without reasonable consent. Delay in notice reduces the obligation only to the extent of material prejudice. Mixed-responsibility claims are allocated according to cause.
23. Retention, exit, suspension and discontinuation
The disclosed retention and exit schedule states available exports, formats, access periods, deletion practices, backups and legal-preservation exceptions for each relevant data category. Neither perpetual storage nor immediate deletion is implied. The Customer maintains additional records needed for its operations. The Seller must meet its own retention, backup and export commitments. Applicable portability or switching rights remain available.
Cancellation, legal notices, support and lawful data exit are not conditioned on acceptance of unrelated new terms. Necessary security and identity checks must remain proportionate. Restrictions may be appropriate where disclosure or continued processing would itself be unlawful. If prepaid service is discontinued without Customer breach and cannot be provided as agreed, unused prepaid amounts are addressed under the refund commitment and mandatory law. No term authorizes confiscation of customer records as leverage in a billing dispute.
24. Updates, new capabilities and future products
Ordinary updates remain within the identified service scope. An unrelated future product, new charge, materially different data use, new provider destination, physical-control operation or restricted deployment does not inherit consent merely because it uses the METRAXIOM brand. Before activation, material changes receive the applicable scope review, disclosure, technical controls and renewed acceptance. Nonmaterial presentation fixes do not require repeated acceptance of unchanged legal text.
Previously accepted documents and evidence are preserved appropriately. A change does not retroactively impose new obligations, extinguish accrued rights or rewrite a historical record. A customer declining a material change retains applicable cancellation, support and exit rights.
25. Governing law, disputes and protected rights
New Jersey law and courts of competent jurisdiction in New Jersey govern transactions where that selection is effective. Mandatory consumer protections, jurisdiction rules, government terms and other controlling law remain unaffected. A governing-law sentence is not worldwide immunity. These Terms do not impose mandatory arbitration, a class-action waiver or a shortened statutory filing period. Good-faith informal resolution is encouraged but does not prevent urgent relief or defeat statutory deadlines.
Unenforceable terms are severed without creating broader restrictions. A general savings sentence cannot be used to conceal otherwise unlawful terms. No confidentiality, non-disparagement or intellectual-property provision prevents protected complaints, reviews or reporting.
26. Contact, notices and a future entity
Customer and business contact: ANDREWATTS23@gmail.com. Topic-specific links may prefill a subject but do not promise delivery or create a ticket merely by opening an email application. The address is also displayed for copying. Required physical notice and registration information will be supplied where applicable; the Seller does not publish an invented address or claim a company exists before formation.
Formation of a future LLC does not automatically discharge the individual Seller's earlier obligations. Any assignment, assumption of obligations, license or transfer must be properly documented, communicated and consented to where required. Changes to seller identity must also be reflected in billing and customer records.
